Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of services provided by Little Lizard Studio LLC (“Company,” “we,” “us,” or “our”). By purchasing services, requesting a quote, or making payment through our website or invoices, you (“Client,” “you,” or “your”) agree to be bound by these Terms.
If you do not agree with these Terms, you should not purchase or use our services.
1. Services
Little Lizard Studio provides professional website services including but not limited to:
- Website design and development
- Website updates and maintenance
- Page rebuilds and redesigns
- Technical troubleshooting and bug fixes
- Performance optimization
- Integration with third-party platforms or services
Each project’s specific scope of work will be defined in a written quote, invoice, or service agreement. Any work outside of the agreed scope may require additional fees.
2. Scope of Work and Change Requests
Services include only the work explicitly described in the approved project scope.
Any additional requests outside the agreed scope—including new features, integrations, additional pages, design changes, or revisions—may be treated as out-of-scope work and billed at the standard hourly rate or quoted separately.
Little Lizard Studio reserves the right to determine whether a request falls outside the original project scope.
3. Client Responsibilities
The Client agrees to provide all necessary materials and access required to complete the project in a timely manner. This may include:
- Written content and copy
- Images, logos, or branding materials
- Website or hosting credentials
- Domain or platform access
- Approval of designs or deliverables
Clients are responsible for ensuring they have the legal right to use all materials provided.
Delays in providing required materials, approvals, or access may result in project delays or rescheduling.
4. Payment Terms
Payment terms are defined in the quote, invoice, or service package selected.
Services may be billed as:
- One-time service packages
- Fixed-price project work
- Hourly development work
- Recurring maintenance subscriptions
Work may begin only after required payment has been received.
Invoices not paid within the stated payment period may result in project suspension until payment is received.
Little Lizard Studio reserves the right to charge reasonable late fees for overdue invoices where permitted by law.
5. Refund Policy
Due to the time-based nature of digital services, payments for completed work are non-refundable.
If a project is cancelled by the Client after work has begun, the Client will be responsible for payment for all work completed up to the cancellation date.
Maintenance subscriptions may be cancelled at any time but are not prorated for partial billing periods.
6. Maintenance Plans
Website maintenance plans provide ongoing support for existing websites and may include:
- Updates and backups
- Security monitoring
- Performance checks
- Allocated developer support time per month
Developer hours included in maintenance plans:
- Apply only to the current billing period
- Do not roll over to future months unless otherwise specified
- Apply only to tasks within the scope of the maintenance plan
Maintenance plans may be cancelled at any time, but cancellation will take effect at the end of the current billing cycle.
7. Third-Party Services and Platforms
Projects may involve third-party platforms or services including but not limited to:
- Website hosting providers
- Content management systems
- Plugins or extensions
- Payment processors
- APIs or external software tools
Little Lizard Studio does not control these services and is not responsible for downtime, changes, security issues, pricing changes, or service interruptions caused by third-party providers.
Clients remain responsible for maintaining active subscriptions for any required third-party services.
8. Website Performance and Compatibility
Little Lizard Studio will make reasonable efforts to ensure that websites function correctly at the time of delivery. However, we cannot guarantee:
- Continuous uptime
- Future compatibility with third-party software updates
- Compatibility with outdated browsers or devices
- Performance levels beyond industry-standard optimization practices
Websites may require periodic updates or maintenance to remain secure and functional.
9. Intellectual Property
Upon full payment of all invoices related to a project, the Client is granted rights to use the final website deliverables produced for the project.
Little Lizard Studio retains the right to:
- Use general coding techniques, frameworks, and design systems developed during projects
- Display completed work in portfolios, marketing materials, and case studies
Third-party tools, libraries, plugins, or frameworks remain subject to their respective licenses.
10. Client Modifications
After project completion, the Client or third parties may modify the website.
Little Lizard Studio is not responsible for issues, bugs, or performance problems caused by modifications made by anyone other than our team.
Any repair work resulting from such modifications may be billed at the standard hourly rate.
11. Limitation of Liability
To the fullest extent permitted by law, Little Lizard Studio shall not be liable for any indirect, incidental, or consequential damages including but not limited to:
- Loss of revenue
- Loss of business opportunities
- Loss of data
- Service interruptions
- Security breaches caused by third-party systems
Our total liability for any claim related to services provided shall not exceed the total amount paid by the Client for the specific service in question.
12. Chargebacks and Payment Disputes
Clients agree to contact Little Lizard Studio to resolve any billing issues prior to initiating a chargeback or payment dispute.
Filing a chargeback for validly delivered services may result in:
- Immediate suspension of services
- Revocation of licenses or deliverables where permitted by law
- Additional administrative or legal fees required to recover payment
13. Termination of Services
Either party may terminate services at any time by providing written notice.
Upon termination:
- All completed work will be invoiced and payable immediately
- Any outstanding balances must be paid before final files or access are transferred
Little Lizard Studio reserves the right to suspend services for non-payment.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict of law principles.
